Counter offer

Perhaps you are referring to what is known as Right of First Refusal (ROFR). What it means is that, if you get someone who agrees to buy your unit, the resort or timeshare company has the right to buy it from you first for the same price that the potential buyer and you agreed to. If the timeshare company does not want to buy it from you for the price you and the potential buyer agreed to, then you can sell it to that person for the agreed-upon price.
Please note a couple of things. First, it's very rare that the resort or timeshare company, even though having this right, exercises that right. There's a huge difference between having that right and actually exercising it.
Secondly, this does not mean that the resort or timeshare company can stop you from selling it. That is a scare tactic that a lot of these exit companies use on owners like you. It just means that the resort or timeshare company can buy it from you first for the price that you agreed to with the potential buyer. It does not mean that the resort can block the sale.
